Company Fulfillment Policy
1. Design Work
Designer agrees to provide graphic design services as listed in the “Deliverables” section below. Designer agrees to produce project materials at the request of the Client for an agreed upon fee and delivery of the Work by an agreed upon deadline prior to the establishment of this contract. Client is responsible for additional fees related to design, such as custom illustrations, web developer help, domains, and hosting. Additional fees will be presented to Client before they are charged.
KambreeDesign will remain the primary author for the term of this project, however, the Designer reserves the right to hire subcontractors to ensure on-time completion. Designer is not responsible for the fees and agreements Client has with other contractors who may be involved on the project.
2. Deliverables
Files will be delivered to client in a Google Drive folder that is shared with the client upon acceptance of final payment. This freelance graphic design contract includes deliverable items agreed upon by Designer & Client. Scope of work is limited to what is listed. If it isn’t listed here, it is not included.
3. Timeline
The start date and the estimated completion date for each project are agreed upon by designer & client prior to the beginning of project. Please keep in mind that this timeline is only estimated and is subject to change. Client understands that changes in scope of project or content after the initial delivery will result in delays and potentially additional fees.
The Client agrees to answer emails promptly, within one business day, to stay on specified schedule. The Designer also agrees to respond to all emails within one business day. The Designer is not responsible for a delayed launch due to delays on behalf of the client (ie: late in supplying materials, delayed responses or changes to project scope). The Designer reserves the right to create her own schedule and work on the project on her terms.
If content is or feedback response is delayed for 60-days, The Designer reserves the right to freeze the project. An additional Restart Fee of $250 will apply to begin work again. If any part of the project is postponed or delayed for more than six-months, the project is considered cancelled and Client will be notified. Any restart of the project will be subject to Designer's current rates.
The Client may not pause or put the project on hold without consulting The Designer first. If client does not want to work together anymore, please refer to the Cancellation section below.
4. Revisions, Changes, and Approval
Design feedback is due within 3 business days of receipt of proof. If feedback is not received by the 4th business day, the Designer reserves the right to notify the client that the project will proceed as the design stands. Feedback is to be sent via email or feedback form. Feedback may need to be discussed and new timelines, costs, and contract addendums may apply.
Client is entitled to two rounds of edits on each aspect of the design. If more than two rounds of edits are needed, Designer's hourly rate will apply as well as an additional $100 edit fee.
If Client requests changes to items that were previously approved, it will be billed extra.
The Designer also reserves the right to decline work.
5. Compensation
The Project above shall be conducted and delivered upon payments agreed upon prior to the beginning of the project.
A 33% non-refundable deposit is required to book design work and is due before any services are provided. This deposit is non-refundable as The Designer says no to other work to hold The Client's spot on her calendar. Payment two is due on project start date. Payment three due when the project is completed, before the website is published. Payments can be made online via credit or debit card, through Venmo, PayPal, direct deposit, or written check.
Payments are due within 7-days from invoice date and must be paid before any deliverables are released. Late payments are subject to a 20% interest charge added for every week the payment is late.
If the parameters of the Work change, or if it involves more time than estimated, additional costs may occur. Designer will submit any price changes to the Client prior to beginning such tasks.
Designer is responsible for the payment of all federal, state, and/or local taxes with respect to the services she performs for the client as an independent contractor.
6. Communication
KambreeDesign's office hours are Monday – Friday from 9:00 AM to 4:00 PM, not including weekday holidays. Communication will be responded to during these hours. Designer will notify Client of vacation times where Designer will not be available.
The preferred method of communication for all design projects is over email to hello@kambreedesign.com. Please send all correspondence here, to keep our communication organized and in the same place. Client is discouraged from using Designer's personal phone number and social media DM's for client work as these requests can become lost and timelines can become extended. Designer is not responsible for requests that were not sent to the email, hello@kambreedesign.com
In order for best results during the project, communication should be respectful. Taste and style is subjective. The Designer does her best to please the Client, but also want to keep their ideal client in mind for the Client's best interest and overall success of the project. Please be open minded and trusting, or respectfully communicate questions or concerns.
Client is allowed up to one, 1-hour meeting/week about the project. If additional meetings are requested, designer must approve and additional fees may apply. Travel fees may apply if client wants to meet in-person.
7. Reproduction
Upon approval and compensation of the Work, Client is granted rights for unlimited reproduction and usage rights of the final product. Client accepts responsibility for any further processes in which this work is used (e.g. printing, social media, etc.) Designer is not responsible for errors occurring in this work or projects related to this work after approval and acceptance of the Work by the Client.
8. Copyrights
Although The Designer does her best to make each project unique, the copyright and license does not apply to individual elements of the project, and may use similar layouts or elements with or projects, and It is not possible for clients to own common layouts and colors. All work will remain unique, original, and free of any plagiarism.
Client does not have permission to use, modify, replicate or borrow, any of the previous and unused: logo ideas, concepts, sketches previously shown and presented during the course of the project. All original preparation materials, sketches, visuals, and unused ideas previously shown, and considered will remain the property of the Designer. The Designer is free to use these unused ideas for future conceptual, and client work. The Client does not have the right to create derivative work off of copyrighted materials owned by KambreeDesign. Client cannot sell or distribute copies of the copyrighted work.
9. Confidentiality & Competes
Unless notified prior to the start of the project, Designer has the right to share sneak peeks, project work in progress, and completed designs on her social media channels and business website at any time.
The Designer hereby acknowledges she may be involved in or become aware of information that relates to the client on a personal level including information related to the client’s past, future, present, customer names, marketing plans, project information, and financial documents. The Designer agrees to protect all the above information and keep any information obtained confidential.
KambreeDesign is allowed to work with clients in the same field or with similar businesses. This contract does not include a non-compete.
10. 3rd Party Systems
KambreeDesign is not responsible for integrations or communication with email providers, 3rd party apps or services. There is no guarantees that these functions will stay error-free forever. The Designer is not responsible for downtimes or app failures. Ongoing maintenance is not included. Backups are not included. Ongoing security is the client's responsibility.
11. Cancellation
Both parties understand that Client or Designer may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Cancellation must be written and sent to hello@kambreedesign.com. Upon written cancellation, Client is responsible for full project cost as outlined in this contract, plus all expenses incurred. The Designer said no to other work with Client and is therefore responsible. Client may not initiate payment chargebacks or disputes through their financial institution or processor.
In the event of cancellation, Designer retains ownership of ALL copyrights and original work created, and The Client does NOT have the right to use any materials created.
12. Acceptance of Terms
By signing below, the Parties agree they have read, understood, and will comply with the terms listed in this freelance graphic design contract.
